Welcome to TruRepo. By accessing or using our platform at trurepo.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms apply to all users of the Service, including lenders, repossessors, and any other visitors or users of the platform.

2. Description of Service

TruRepo provides a cloud-based platform that connects lenders and repossessors for efficient asset recovery management. The Service includes:

• Assignment creation and management tools
• Real-time tracking and notifications
• Payment processing and invoicing
• Document management and digital signatures
• Communication and collaboration features
• Analytics and reporting capabilities

3. User Accounts

3.1 Account Registration

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify TruRepo immediately of any unauthorized use of your account.

3.3 Account Types

TruRepo offers different account types (Lender and Repossessor) with specific features and permissions. You must select the account type that accurately represents your business role.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable federal, state, local, or international law or regulation
• Transmit any material that is defamatory, obscene, or offensive
• Impersonate or attempt to impersonate TruRepo, another user, or any other person or entity
• Engage in any conduct that restricts or inhibits anyone's use of the Service
• Use any robot, spider, or other automatic device to access the Service
• Introduce any viruses, trojan horses, worms, or other malicious code
• Attempt to gain unauthorized access to any portion of the Service

5. Payment Terms

5.1 Subscription Fees

Access to certain features of the Service requires payment of subscription fees. All fees are stated in U.S. dollars and are non-refundable except as required by law.

5.2 Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. You authorize TruRepo to charge your payment method on a recurring basis.

5.3 Free Trial

TruRepo may offer a free trial period. At the end of the trial period, your subscription will automatically begin unless you cancel before the trial ends.

6. Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are owned by TruRepo, Inc., its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

7. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand our practices regarding the collection and use of your personal information.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TRUREPO, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

9. Indemnification

You agree to defend, indemnify, and hold harmless TruRepo and its affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of the Service.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Your continued use of the Service after such modifications constitutes your acceptance of the modified Terms.
